These Terms of Service ("Terms") govern your use of GAP Receipts, operated by GAP Industries LLC ("GAP," "we," "us"). By subscribing or using the service you agree to these Terms. If you do not agree, do not use the service.
Subscription cadence. GAP Receipts is sold as a monthly flat-rate subscription — Solo ($29/mo), Pro ($79/mo), or Agency ($299/mo). Your subscription begins on the date you complete checkout.
Auto-renewal. Your subscription automatically renews at the then-current rate on each monthly anniversary unless you cancel before the renewal date. No action is required on your part to continue service; inaction equals renewal consent. We will charge the payment method on file at renewal.
Price changes. We will notify you at least 30 days before increasing the price of your active tier. Continued use after the effective date of a price change constitutes acceptance.
No per-invoice fees. There are no charges per invoice generated, per verify link served, or per Stripe payment processed through the platform (Stripe's own processing fees apply separately).
No setup fees. There are no setup, activation, or onboarding fees beyond the monthly subscription.
Cancel anytime, no fee. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period; you retain access through the period you have paid for.
Refund policy. Monthly subscriptions are non-refundable after the billing date except where required by applicable law. If you cancel within 48 hours of an unintended renewal charge and have not used the service in that renewal period, contact Sales@gapindustriesllc.com for a refund consideration — these are evaluated case by case.
Downgrade / tier change. You may downgrade to a lower tier at any time. The change takes effect at the next billing cycle; no prorated refund is issued for the remainder of a higher-tier period.
GAP Receipts generates invoices with a SHA-256 hash stored at generation time. The hash enables tamper detection: any change to amounts, dates, or line items after generation breaks the hash match on the public verify page. This mechanism is hash-based tamper detection, not asymmetric cryptographic signing. We do not generate or hold private signing keys on your behalf.
GAP Receipts is a software tool. We do not provide legal, accounting, or tax advice. The integrity mechanism assists in evidence of invoice content at generation time; it is not a guarantee of enforceability in any specific legal dispute. You are responsible for ensuring your invoices comply with applicable law in your jurisdiction.
We reserve the right to modify, suspend, or discontinue features with reasonable notice (30 days where commercially feasible, except for immediate suspension required by legal obligation or security incident).
GAP Receipts integrates with Stripe for payment processing. To collect payments from clients you must connect a Stripe account and agree to Stripe's Terms of Service. GAP Industries is not a party to transactions between you and your clients. Stripe's fees are separate from your GAP Receipts subscription and governed entirely by your Stripe agreement.
What we store. We store invoice records (line items, amounts, dates, hashes), your account information, and API usage logs. Verify pages are served from Cloudflare's global edge network.
Client data. Invoice content you submit (including client-identifying information) is stored on GAP Industries' Cloudflare D1 infrastructure. You are the data controller for any personal data in invoice content. We process it on your behalf as a data processor.
No sale of data. We do not sell your data or your clients' data to third parties.
Sub-processors. Core sub-processors: Cloudflare (hosting, KV, D1), Stripe (payment processing), Anthropic / Groq (AI line-item parsing — input text only, not stored by GAP). Full sub-processor list available on request.

Agency subscribers may configure custom branding on verify pages (logo, colors, domain). You retain ownership of your brand assets. GAP Receipts requires a "Powered by GAP Receipts" link on all white-labeled verify pages — this is a Blood Equity requirement and cannot be disabled. You warrant that branding you supply does not infringe third-party rights.
You may not use GAP Receipts to:
Violation of acceptable use may result in immediate account suspension without refund.
GAP RECEIPTS IS PROVIDED "AS IS." TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GAP INDUSTRIES LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL GAP INDUSTRIES BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM.
Either party may terminate the subscription at any time per Section 2. We may terminate your account immediately for material breach of these Terms, with notice where commercially feasible. Upon termination you may export your invoice records for 30 days; after that period records may be deleted.
These Terms are governed by the laws of the State of Arizona. Disputes shall be resolved in the courts of Mohave County, Arizona, or by binding arbitration under AAA Commercial Rules at GAP's election.
We may update these Terms. Material changes will be emailed to your account address at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
